Acceptance of the Terms of Use

These terms of use are entered into by and between you and Theralinq, LLC, a North Carolina limited liability company or successors and assigns (Company, we, our, or us). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, Terms of Use), govern your access to and use of www.theralinq.com, including any content and functionality offered on or through theralinq.com (the Website). The Website does not provide account registration or login functionality and does not provide access to App functionality.

Please read the Terms of Use carefully before you start to use the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://www.theralinq.com/privacy-policy (Privacy Policy), incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Website. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes.

These Terms of Use do not govern your access to or use of Theralinq’s mobile application (the App), which is governed by a separate mobile application end user license agreement (the EULA). If you download, install, access, or use the App, you will be subject to the EULA. In the event of any conflict between these Terms of Use and the EULA, the EULA will control solely with respect to the App, and these Terms of Use will control solely with respect to the Website.

 

1. Website Purpose. The Website is provided for informational, marketing, and awareness purposes only. The Website does not offer the full functionality of the App, and does not provide access to exercise videos, therapist assignment features, subscription management, or any other App features. No account registration or login functionality is available on the Website. Information about the App, including its features and subscription options, is provided on the Website for general informational purposes only and does not constitute a binding offer. Theralinq reserves the right to change the App's features, pricing, and availability at any time without notice.

 

2. Eligibility. The Website is intended for use by individuals located in the United States. You must be at least eighteen (18) years of age to submit information through the Website (including through any contact form). By using the Website or submitting information through the Website, you represent and warrant that: (a) you have the legal capacity to enter into these Terms of Use; and (b) all information you submit is accurate, current, and complete. The Website is not directed to children under the age of thirteen (13), and we do not knowingly collect personal information directly from children under 13 through the Website.

 

3. Changes to the Terms of Use. We reserve the right to revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. We will update the "Last Modified" date at the top of these Terms of Use when changes are made. You are expected to check this page periodically so you are aware of any changes, as they are binding on you. Your continued use of the Website after the posting of revised Terms of Use constitutes your acceptance of such changes.

 

4. Access to the Website. We reserve the right to withdraw, amend, or suspend this Website, and any content or functionality we provide on the Website, in our sole discretion without notice. We are not liable to you or any third party for any unavailability, interruption, or discontinuation of the Website or any portion thereof. We may restrict access to all or any portion of the Website at any time without notice or liability. There are no user accounts or logins on the Website. Any references to account-based features or functionality pertain exclusively to the App and are governed by the App's End User License Agreement.

 

5. Contact Form Submissions. The Website includes a contact form where you may submit your first name, last name, email address, and a message ("Submission"). By submitting information through the contact form, you: (a) consent to our collection and use of your information as described in our Privacy Policy; (b) represent that all information you submit is accurate, truthful, and not confidential or proprietary to any third party; (c) represent that your Submission does not contain any content that is unlawful, harassing, threatening, harmful, defamatory, obscene, or otherwise objectionable; (d) acknowledge that Theralinq is under no obligation to respond to any Submission; and (e) acknowledge that submitting information through the contact form does not create any professional, therapeutic, or provider-patient relationship between you and Theralinq or any therapist. Submissions are not confidential and are not a substitute for professional medical or therapeutic advice.

 

6. Intellectual Property Rights. The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may access and use the Website for personal, non-commercial, informational purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as incidentally necessary in the ordinary course of using a web browser, or as permitted by applicable law or with our prior written consent. No right, title, or interest in or to the Website or any content on the Website is transferred to you, and all rights not expressly granted herein are reserved by the Company.

 

7. Trademarks. The Company name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

 

8. Prohibited Uses. You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website: (a) in any way that violates any applicable federal, state, local, or international law or regulation; (b) to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation; (c) to impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity; (d) to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Website; or (e) in any manner that could harm, disparage, or negatively reflect on the Company, its App, its therapist users, or its reputation.

You agree not to:

Use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website.

Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any of the material on the Website.

Use any manual process to monitor or copy any of the material on the Website, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.

Use any device, software, or routine that interferes with the proper working of the Website.

Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.

Attack the Website via a denial-of-service attack or a distributed denial-of-service attack.

9. No Medical or Therapeutic Advice. The content on the Website, including any descriptions of the App's features, exercise videos, or therapeutic approaches, is provided for general informational and marketing purposes only and does not constitute medical advice, therapeutic advice, diagnosis, or treatment. The Website does not create any provider-patient, therapist-client, or other professional relationship between you and Theralinq or any therapist. Always seek the advice of a qualified healthcare professional or licensed therapist regarding any medical or therapeutic questions you may have. Never disregard or delay seeking professional advice because of something you have read on the Website. In the event of a medical emergency, call 911 or your local emergency services immediately. Theralinq is not responsible for any actions taken or not taken based on information you read on the Website.

 

10. User Content and Webform Submissions. Any information or message you submit through the Website (including the contact form) will be treated in accordance with the Privacy Policy. Except to the extent required to respond to you, operate the Website, improve the Website, and comply with applicable law, Theralinq will not use your Submission for any other purpose without your consent. You grant Theralinq a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and use your Submission solely to: (a) respond to your inquiry; (b) operate, maintain, secure, and improve the Website; and (c) comply with applicable law and enforce these Terms of Use. You represent and warrant that you own or have all necessary rights to the content you submit, and that your Submission does not infringe any third party’s intellectual property, privacy, or other rights. Theralinq reserves the right to disclose your identity and any information you submit to the extent required by law or to protect the rights, property, or safety of Theralinq, its users, or others.

 

11. Monitoring and Enforcement. Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone submitting materials on or through the Website. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER THE COMPANY OR LAW ENFORCEMENT AUTHORITIES.

 

12. Reliance on Information. The information presented on or through the Website is made available solely for general information and marketing purposes. We do not warrant the accuracy, completeness, timeliness, or usefulness of this information, including any information about the App's features, pricing, or availability. Any reliance you place on such information is strictly at your own risk. We expressly disclaim any liability for errors or omissions in the information provided on the Website.

 

13. Changes to the Website. We may update, modify, or discontinue the content on this Website from time to time in our sole discretion, without notice or liability. The content of the Website is not necessarily complete or up to date, and we are under no obligation to update any material. Descriptions of the App's features, subscription pricing, or other App-related information on the Website are subject to change at any time without notice.

 

14. Links to Third-Party Sites. The Website may contain links to third-party websites or resources, including links to download the App from the Apple App Store or Google Play (each a "Third-Party Platform"). These links are provided for your convenience only. We have no control over the contents of those sites or resources, and we accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of any Third-Party Platform, including the Apple App Store and Google Play, is governed solely by the terms and conditions of that platform. Theralinq is not a party to any agreement between you and Apple Inc. or Google LLC in connection with your use of their platforms.

 

15. Privacy and Children's Information. Your use of the Website is also governed by our Privacy Policy, available at https://www.theralinq.com/privacy-policy, which is incorporated herein by reference. Because the App is designed for the benefit of children, we take the privacy of children seriously. The Website does not knowingly collect any personal information directly from children under the age of 13. The Website's contact form is intended for use by adults only. If you believe that a child under 13 has submitted personal information to us through the Website, please contact us immediately at info@theralinq.com and we will take steps to delete such information.

 

16. Geographic Restrictions. The Website is operated by Theralinq from the United States. We make no claims that the Website or any of its content is accessible or appropriate outside of the United States. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

 

17. Electronic Communications. By using the Website or submitting information through the contact form, you consent to receive electronic communications from Theralinq. These communications may include responses to your webform submissions and information about the Website. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

 

18. Disclaimer of Warranties. YOUR USE OF THE WEBSITE AND ITS CONTENT IS AT YOUR OWN RISK. THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE WEBSITE OR ITS CONTENT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE WEBSITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. THE COMPANY DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE COMPLETENESS, ACCURACY, OR RELIABILITY OF ANY INFORMATION ABOUT THE APP, INCLUDING ITS FEATURES, PRICING, THERAPEUTIC OUTCOMES, OR AVAILABILITY.

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

 

19. Limitation on Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THERALINQ, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR ITS CONTENT. IN NO EVENT WILL THERALINQ'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE WEBSITE EXCEED ONE HUNDRED DOLLARS ($100.00). THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND WHETHER SUCH CLAIMS ARE BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY. THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

 

20. Indemnification. You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns (collectively, "Indemnitees") from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms of Use; (b) your use of the Website or any content thereon; (c) your Submissions through the contact form, including any claim that your Submission infringes or misappropriates the rights of a third party; or (d) your violation of any applicable law or regulation in connection with your use of the Website. Theralinq reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense, and you agree to cooperate with Theralinq's defense of such claims.

 

21. Governing Law and Jurisdiction. These Terms of Use, and all matters relating to the Website, are governed by and construed in accordance with the laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of North Carolina, in each case located in the City of Raleigh and Wake County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE. For clarity, this Section 21 applies only to disputes relating to the Website and does not apply to disputes relating to the App, which are governed by the dispute resolution provisions in the EULA.

22. Entire Agreement. These Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and Theralinq with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website. These Terms of Use do not govern your use of the App, which is subject to a separate End User License Agreement. If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. No waiver by Theralinq of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or any other term.

 

23. Apple App Store and Google Play Notice. The App is made available through the Apple App Store and Google Play. These Terms of Use are entered into between you and Theralinq only, and not with Apple Inc. or Google LLC. Theralinq, not Apple or Google, is solely responsible for the Website and its content. Apple and Google have no obligation whatsoever to furnish any maintenance or support services with respect to the Website. To the extent any terms required by Apple Inc. or Google LLC apply to your use of the App, those terms are incorporated into the App's End User License Agreement and not these Website Terms of Use.
